XeroxMusic.com – Free Plan Distribution Agreement
Effective Date: Upon User’s Acceptance
This Music Distribution Agreement (“Agreement”) is entered into by and between XeroxMusic.com (hereinafter referred to as the “Distributor”) and the Artist/Label (hereinafter referred to as the “User”), collectively referred to as the “Parties.” By uploading music to XeroxMusic.com under the Free Plan, the User hereby acknowledges, understands, and agrees to the following terms and conditions in their entirety without exception.
1. Purpose of Agreement
This Agreement sets forth the terms under which XeroxMusic.com provides music distribution services to the User via its digital platform. The Distributor operates as an intermediary that facilitates the delivery of music content to various online music streaming services, download stores, social platforms, and other digital music outlets.
By agreeing to this document, the User confirms their full and complete understanding that XeroxMusic.com acts as a distribution service provider only and does not function as a record label, publisher, manager, or financial entity responsible for artist compensation outside the scope of any agreed-upon revenue-sharing plans.
The User grants the Distributor a non-exclusive, revocable, worldwide license to distribute the User’s content across all participating platforms and associated networks.
2. Terms of the Free Plan
The Free Plan is a complimentary service that allows artists and labels to distribute their music without upfront costs. By utilizing this service, the User acknowledges that the Free Plan is specifically designed for exposure, accessibility, and digital presence and is not structured for monetary compensation or revenue distribution.
Under the Free Plan, the User is entitled to the following benefits:
✔️ Unlimited music uploads to digital platforms
✔️ Seamless distribution to 160+ global streaming and download services
✔️ Provision of Free ISRC & UPC codes for accurate tracking and identification
✔️ Ability to schedule release dates based on the User’s preferences
✔️ Unrestricted digital presence across multiple online music stores
Revenue & Sales Reports
The User understands that no sales reports, earnings breakdowns, or financial data will be made available under the Free Plan.
The Free Plan is structured to ensure free and uninterrupted music distribution, and any revenue generated from distributed content is reinvested into the platform to maintain operational efficiency, scalability, and service improvements.
The User may choose to upgrade to a Paid Plan at any time to unlock revenue-sharing features and royalty tracking.
3. Song Distribution & Removal Policy
To maintain industry standards, metadata integrity, and ISRC tracking, the User agrees and acknowledges that once a song is distributed, it cannot be removed upon request.
Permanent Distribution: Once released, all songs remain permanently available on digital platforms to preserve historical data and maintain catalog consistency.
ISRC Code Policy: Since XeroxMusic.com provides premium ISRC codes free of charge, removal of any distributed track would result in the ISRC code becoming invalid, leading to metadata discrepancies and disruptions in industry databases.
Non-Reversible Process: The User acknowledges that requesting content removal is not an available option under the Free Plan, ensuring compliance with ISRC standards and digital distribution norms.
4. Copyright & Legal Responsibility
The User confirms that all uploaded content is original and that they possess the full rights and legal authority to distribute the music.
Copyright Infringement: If the User uploads copyrighted material without legal authorization, they accept full legal responsibility for any claims, disputes, or penalties imposed by rights holders.
Licensing & Ownership: The Distributor does not claim ownership of any uploaded content; however, the User grants XeroxMusic.com a limited, non-exclusive right to distribute and promote the content as part of the Free Plan.
Legal Compliance: The User agrees to comply with all relevant copyright laws, intellectual property regulations, and licensing agreements applicable in their country of residence and the territories where their music is distributed.
5. Reputation & Conduct
The User must not engage in any conduct that harms or misrepresents the XeroxMusic.com brand, including but not limited to:
Making false claims regarding the services offered by the platform
Posting negative or defamatory statements on social media or public forums
Engaging in fraudulent activity, including artificial streaming, bot-driven plays, or any manipulative practices
Violating the terms of digital music platforms, leading to potential takedown or blacklisting
If the User breaches this section, XeroxMusic.com reserves the right to terminate the agreement immediately and pursue financial penalties ranging from INR 10,00,000 (10 lakhs) to INR 1,00,00,000 (1 crore) for damages caused to the Distributor’s business reputation.
6. Agreement Continuity & Artist Growth
The User acknowledges that this Agreement remains in effect indefinitely as long as their music remains available via XeroxMusic.com’s distribution services.
Continuous Distribution: The User benefits from ongoing exposure and platform visibility, allowing their catalog to grow organically.
Expansion Opportunities: XeroxMusic.com may introduce additional artist development programs, monetization features, and promotional tools, which the User can explore based on their individual goals.
Upgrading to a Paid Plan: At any time, the User may opt for a Paid Plan, which includes monetization benefits, revenue-sharing opportunities, and detailed sales reporting.
7. General Terms
This Agreement represents the complete understanding between the Parties regarding digital music distribution.
Any modifications to the Agreement must be made in writing and acknowledged by both Parties.
The User confirms that they have read, understood, and accepted all terms before proceeding with music uploads.
